The Securities and Exchange Commission cited Gabelli Group Inc. and related entities for failing to properly disclose their intent to pursue a leveraged buyout of DiGiorgio Corp. in 1987. The SEC alleged that Gabelli Group, which held more than 5% of DiGiorgio’s common stock, contacted San Francisco-based DiGiorgio in February, 1987, seeking a meeting with the company to discuss a takeover. Gabelli and its related entities should have filed a Schedule 13-D document with the SEC by mid-February disclosing their stake and intentions to possibly seek control of the company, the SEC said.
